Films Rx Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Proteverse LLC (“Company,” “we,” “us,” or “Films Rx”) governing your access to and use of the Films Rx mobile application, website, and related services (collectively, the “Service”).

For clarity, the “Service” includes the Films Rx website at https://filmsrx.com. These Terms apply to your access to and use of the Website as well as the Films Rx mobile application and related services.

BY CLICKING “I AGREE,” CREATING AN ACCOUNT, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.

1. Eligibility and Accounts

1.1 Age Requirement. You must be at least 13 years old to use the Service. If you are between 13 and 18, you represent that you have your legal guardian’s permission to use the Service. Certain features (such as public profiles and community reviews) may have additional age restrictions.

1.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account, including any content posted using your account.

1.3 Truthful Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

1.4 One Account Per Person. Each person may maintain only one account. Creating multiple accounts to circumvent blocks, bans, or restrictions is prohibited.

2. The Service & Data Accuracy

2.1 Nature of Service. Films Rx provides information regarding movies, TV shows, directors, and film festivals. We aggregate data from third-party sources including The Movie Database (TMDB). While we strive for accuracy, we do not guarantee the completeness or accuracy of movie metadata, festival history, streaming availability, or director filmographies.

2.2 Third-Party Data (Streaming Availability). The Service integrates with third-party platforms (e.g., TMDB, JustWatch) to display streaming availability. We do not warrant that this information is accurate or real-time. Streaming rights change frequently; we are not responsible if content listed as available is not present on the indicated platform.

2.3 Festival Archives. Historical data regarding film festivals (Cannes, Berlinale, Venice, BFI, and others) is curated for informational purposes. The inclusion of a film in our lists does not imply an official endorsement by the festival organization.

2.4 Ratings and Recommendations. Films Rx provides proprietary ratings (Heart and Cow ratings) and curated recommendations. These represent editorial opinions and should not be taken as objective assessments of quality.

3. Community Features & User Conduct

3.1 User-Generated Content

You retain ownership of the lists, reviews, ratings, notes, and profile information (“User Content”) you submit. By submitting User Content, you grant Films Rx a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, and publicly display such content in connection with the Service and Films Rx’s (and its successors’ and affiliates’) business.

3.2 Reviews and Ratings

When you submit a review:

• Your review will be publicly visible and associated with your public alias (not your email).
• You may submit one review per movie or TV show.
• Reviews must be between 1-1000 characters.
• Your rating (1-10) contributes to the aggregate rating shown to other users.
• You can edit or delete your review at any time.

3.3 Public Watchlists

When you enable public sharing of your favorites:

• Your watchlist becomes discoverable by other users.
• Your public alias (a randomly generated username) is displayed instead of your real name or email.
• Other users may “pin” your list, which is publicly visible.
• You can disable public sharing at any time in Settings.

3.4 Prohibited Conduct

You agree NOT to:

Content Violations:

• Post content that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, or spam.
• Post content that victimizes, harasses, degrades, or intimidates any individual or group based on religion, gender, sexual orientation, race, ethnicity, age, disability, or any other characteristic.
• Post content that infringes on any patent, trademark, trade secret, copyright, or other proprietary right.
• Post content containing unauthorized private information of any third party.
• Post spoilers without appropriate warnings.
• Post promotional content, advertisements, or solicitations.

Platform Abuse:

• Create multiple accounts to evade blocks, bans, or restrictions.
• Use automated scripts, bots, or scraping tools to access the Service.
• Attempt to manipulate ratings or reviews through fake accounts or coordinated behavior.
• Circumvent any security features of the Service.
• Interfere with other users’ enjoyment of the Service.

3.5 Content Moderation

We reserve the right, but are not obligated, to:

• Monitor User Content for violations of these Terms.
• Remove or modify any User Content at our sole discretion.
• Suspend or terminate accounts that violate these Terms.
• Report illegal content to appropriate authorities.

We aim to review reported content within 24-48 hours, but do not guarantee response times.

3.6 User Blocking and Reporting

Blocking: You may block other users, which will hide their content from your view. Blocked users are not notified.

Reporting: You may report content or users that violate these Terms. Reports are confidential and reviewed by our moderation team. False or abusive reporting may result in account suspension.

Report categories include:

• Harassment or bullying
• Hate speech or discrimination
• Spam or promotional content
• Inappropriate content
• Impersonation
• Other violations

4. Intellectual Property Rights

4.1 Our IP. The Films Rx Service, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the “Content”), is owned by us and protected by copyright and trademark laws.

4.2 Third-Party Trademarks. All product names, logos, and brands (including but not limited to Cannes Film Festival, Venice Film Festival, Berlinale, BFI London Film Festival, The Movie Database (TMDB), JustWatch, Oscars, and similar) are property of their respective owners. All company, product, and service names used in this application are for identification purposes only. Use of these names, logos, and brands does not imply endorsement.

4.3 TMDB Attribution. This product uses the TMDB API but is not endorsed or certified by TMDB. Movie and TV show metadata, including posters, synopses, and cast information, are provided by TMDB under their API Terms of Use.

5. Digital Millennium Copyright Act (DMCA) Notice

We respect the intellectual property rights of others. If you believe any material available on the Service infringes upon your copyright, please notify our Designated Agent immediately.

Your notice must include:

1. A physical or electronic signature of the copyright owner or authorized agent.
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the material that is claimed to be infringing and its location.
4. Your contact information (Address, Phone, Email).
5. A statement that you have a good faith belief that use of the material is not authorized.
6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner.

6. Subscriptions and Payments

6.1 App Store Processing. Purchases are processed via third-party app stores (Apple App Store, Google Play) and RevenueCat. We do not process payments directly and do not store credit card information.

6.2 Subscription Features. Premium subscriptions may include ad-free experience, additional features, or enhanced functionality as described at the time of purchase.

6.3 Refunds. Refund requests must be directed to the respective App Store and are governed by their terms and conditions. We are unable to process refunds directly.

6.4 Price Changes. We may change subscription pricing with notice. Price changes will not affect active subscription periods.

7. Account Termination

7.1 Voluntary Termination. You may delete your account at any time through the app Settings. Account deletion will remove your personal data, reviews, favorites, and other User Content from our active systems.

7.2 Involuntary Termination. We may suspend or terminate your account without notice if:

• You violate these Terms.
• Your conduct harms other users, the Service, or third parties.
• Your account shows signs of fraudulent activity.
• Required by law.

7.3 Effect of Termination. Upon termination, your license to use the Service ends immediately. Sections 3.1 (license grant for User Content), 4, 7, 8, and 9 survive termination.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• The implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, and NON-INFRINGEMENT.
• Warranties about the accuracy, completeness, or reliability of content (including User Content, movie metadata, streaming availability, and ratings).
• Warranties about the conduct of other users or third parties.
• Warranties that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

IN NO EVENT WILL FILMS RX, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Lost profit, lost revenue, or loss of data.
• Damages arising from your use of or inability to use the Service.
• Damages arising from User Content or conduct of other users.
• Damages arising from unauthorized access to your account.

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Films Rx and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of any third-party rights.

11. Governing Law and Dispute Resolution

11.1 Governing Law. These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

11.2 Binding Arbitration. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court, except that you may assert claims in small claims court if eligible.

11.3 Class Action Waiver. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Opt-Out. You may opt out of the arbitration agreement by sending written notice to legal@filmsrx.com within 30 days of first accepting these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will alert you about material changes by:

• Updating the “Last Updated” date.
• Sending you an in-app notification or email for significant changes.

Your continued use of the Service after changes constitutes your acceptance of the new Terms. If you disagree with the changes, you must stop using the Service.

13. Miscellaneous

13.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Films Rx.

13.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 No Waiver. Our failure to enforce any provision does not waive our right to do so later.

13.4 Assignment. You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
